This agreement explains the terms under which ClubDNA Ltd (“ClubDNA”, “we”, “us”, “our”) may use your club’s crest, name, logo, colours, and related branding elements (“Club Assets”) to create, promote, and sell merchandise for your club.
By registering your club with ClubDNA and accepting this agreement, you confirm that your club agrees to these terms.
1. Purpose of this agreement
ClubDNA provides an online service that allows clubs to offer branded merchandise to their members, supporters, players, families, and the wider public.
To do this, we need permission to use your club’s crest and other branding on products, marketing materials, and online content related to your club shop.
2. Permission to use club assets
Your club gives ClubDNA permission to use, reproduce, display, resize, reformat, adapt, and apply the Club Assets for the purpose of:
- creating and selling merchandise
- displaying products on our website and related platforms
- promoting your club shop
- creating marketing materials for your club shop
- sharing preview images, mockups, and promotional graphics
This permission is:
- non-exclusive — your club keeps full ownership and can work with other suppliers
- valid for as long as your club remains active with ClubDNA, unless terminated in line with this agreement
- limited to the operation, promotion, and sale of merchandise and related services connected with ClubDNA
3. Ownership of crest and branding
Your club keeps ownership of its crest, name, logo, colours, and branding at all times.
Nothing in this agreement transfers ownership of any intellectual property rights to ClubDNA.
4. Confirmation of authority
By accepting this agreement, you confirm that:
- you are authorised to act on behalf of the club
- the club has the legal right to give ClubDNA permission to use the Club Assets
- use of the Club Assets by ClubDNA will not infringe the rights of any third party
- the information provided during registration is accurate and complete
If it turns out that permission was not properly authorised, the club remains responsible for that issue.
5. Club responsibility for supplied materials
The club is responsible for ensuring that any crest, logo, image, wording, slogan, or other content it provides to ClubDNA:
- is accurate
- is lawful
- does not infringe any copyright, trademark, design right, or other third-party right
- is suitable for reproduction on printed merchandise
The club should provide the highest quality artwork available. ClubDNA may refuse to use files that are low quality, unclear, incomplete, or unsuitable for production.
6. How ClubDNA may format and use the crest
The club agrees that ClubDNA may make reasonable technical or design adjustments to the Club Assets where needed for production, including:
- resizing
- repositioning
- cropping
- background removal
- colour correction
- preparing print-ready versions
- standardising placement across product types
ClubDNA will use reasonable efforts to represent the club branding respectfully and professionally, but exact appearance may vary depending on the product, print method, supplier, screen display, or mockup process.
7. Products, pricing, and sales
ClubDNA may decide:
- which products to offer
- how products are presented
- retail pricing
- promotional pricing or discounts
- which third-party fulfilment providers to use
- whether to add, remove, suspend, or discontinue product lines
ClubDNA does not guarantee any minimum number of sales, level of revenue, or ongoing availability of any specific product.
8. Club payment / revenue share
Where applicable, ClubDNA will pay the club the agreed club amount per eligible product sold, in accordance with the commercial arrangement agreed between ClubDNA and the club.
Unless otherwise agreed:
- ClubDNA will calculate amounts due based on completed and eligible sales
- cancelled, refunded, fraudulent, disputed, failed, or chargeback transactions may be excluded
- ClubDNA may provide statements or reports to the club periodically
- the club may be required to submit an invoice before payment is issued
- payment timing may be subject to minimum payout thresholds, verification checks, and valid banking details being supplied
ClubDNA may amend the club payment model or payout rates on notice to the club.
9. Taxes and VAT
The club is responsible for its own tax affairs, VAT status, returns, declarations, and accounting treatment in relation to any monies it receives from ClubDNA.
The club must provide accurate tax and business information where requested.
ClubDNA is not responsible for advising the club on tax, VAT, or accounting matters.
10. Third-party suppliers and fulfilment
ClubDNA may use third-party suppliers, printers, fulfilment partners, payment providers, software services, and couriers to operate the service.
While ClubDNA will make reasonable efforts to manage service quality, ClubDNA is not responsible for delays, production issues, shipping disruption, customs issues, carrier errors, or supplier failures that are outside our reasonable control.
Product colours, print placement, and sizing may vary slightly from previews or mockups.
11. Customer relationship and support
Sales are made by ClubDNA to the end customer.
ClubDNA will manage the customer-facing sale process, including website ordering, payment collection, and general customer service relating to orders, subject to our store policies.
The club is not responsible for customer order handling unless otherwise agreed.
12. Promotion by the club
The club agrees to use reasonable efforts to support the promotion of its ClubDNA shop where appropriate, including by sharing links and promotional content with members and supporters through channels such as WhatsApp groups, Facebook, Instagram, email, club websites, and similar channels.
ClubDNA may provide text, graphics, links, or other promotional materials to assist the club.
The club acknowledges that sales performance is likely to depend in part on the level of promotion and engagement by the club.
Failure by the club to actively promote its shop will not, by itself, constitute a breach of this agreement, but ClubDNA may take inactivity or lack of engagement into account when reviewing whether to continue, prioritise, or support a club shop.
13. No guarantee of sales or fundraising outcome
ClubDNA does not guarantee:
- a minimum sales volume
- a minimum level of club income
- any specific fundraising outcome
- that the service will be uninterrupted or error-free at all times
Any sales estimates, examples, or projections are illustrative only.
14. ClubDNA right to refuse or suspend
ClubDNA may refuse, suspend, restrict, or remove a club, product, design, or club shop at any time where we reasonably believe that:
- the club is not authorised to enter into this agreement
- the supplied crest or materials may infringe third-party rights
- the club has provided false or misleading information
- the materials are unsuitable for production
- continued operation could expose ClubDNA to legal, reputational, operational, or financial risk
- there is prolonged inactivity, lack of engagement, or low viability
- the club breaches this agreement
Where reasonable, ClubDNA will try to notify the club first.
15. Data protection and privacy
ClubDNA will process personal data in accordance with applicable data protection law and our privacy policy.
The club acknowledges that customer personal data belongs within ClubDNA’s customer transaction systems unless otherwise agreed, and the club will not be entitled to receive customer personal data except where lawful and expressly agreed.
The club must ensure that any personal data it provides to ClubDNA has been collected and shared lawfully.
16. Indemnity by the club
The club agrees to indemnify and hold harmless ClubDNA, its directors, officers, employees, contractors, and service providers against any claims, losses, liabilities, damages, costs, or expenses arising from or connected with:
- any allegation that the Club Assets or other materials supplied by the club infringe third-party rights
- any lack of authority by the person accepting this agreement
- any false, misleading, or incomplete information provided by the club
- any breach of this agreement by the club
This protection applies to reasonable legal and professional costs incurred by ClubDNA.
17. Limitation of liability
To the fullest extent permitted by law, ClubDNA will not be liable to the club for:
- indirect or consequential loss
- loss of profits
- loss of opportunity
- loss of reputation
- loss arising from third-party supplier failures
- loss arising from courier or delivery issues
- loss arising from website downtime, technical failures, or payment processor issues outside our reasonable control
To the fullest extent permitted by law, ClubDNA’s total liability to the club in connection with this agreement shall not exceed the total amount paid by ClubDNA to the club in the previous 6 months, or €500 if no payments have yet been made, whichever is greater.
Nothing in this agreement excludes liability where it cannot legally be excluded.
18. Term and termination
This agreement starts when the club accepts it and continues until terminated.
Either party may terminate the arrangement by giving written notice.
ClubDNA may terminate immediately where there is:
- a breach of this agreement
- an intellectual property dispute
- a legal or regulatory concern
- abusive or inappropriate conduct
- a serious operational or reputational risk
After termination:
- ClubDNA will stop creating new products for the club within a reasonable period
- ClubDNA may continue to process or fulfil orders already placed before termination
- any outstanding sums properly due may still be processed subject to normal checks and set-offs
19. Changes to this agreement
ClubDNA may update this agreement from time to time.
The version in force at the time of acceptance will apply unless continued use of the service, re-registration, or continued participation after notice of updated terms amounts to acceptance of the revised version.
We recommend clubs review this page periodically.
20. Entire agreement
This agreement forms the entire agreement between ClubDNA and the club in relation to use of the Club Assets and the related service, unless separate written terms are expressly agreed.
21. Governing law
This agreement is governed by the laws of Ireland.
Any dispute arising in connection with this agreement shall be subject to the jurisdiction of the Irish courts.
22. Acceptance
By ticking the acceptance box during registration, you confirm that:
- you have read and understood this agreement
- you are authorised to accept it on behalf of the club
- the club agrees to be legally bound by it
